Vote at Our AGM

All RPCA meetings are open to the public, unless a motion is passed to deal with all or part of the agenda “in camera.” Voting at Annual General Meetings is reserved for members in good standing.


The RPCA will be holding elections for 9 Directors at the upcoming AGM on October 7:

  • 2 positions in Riverside Park West (Mooney’s Bay neighbourhood)
  • 2 positions in Riverside Park East (General Vanier neighbourhood)
  • 2 positions in Riverside Park South West (Fielding/Otterson neighbourhood)
  • 2 positions in Riverside Park South East (Southmore/Flannery neighbourhood)
  • 1 position in Revelstoke

The term of office is two years, from October 2020 to October 2022, and Officers (President, Vice-President, Treasurer, and Secretary) will be elected from among the new directors, immediately following the AGM. There is no limit on the number of terms a Director may serve.

To nominate yourself, simply complete a Nomination Form (Word version or PDF version) and send it as an attachment or in the body of an email to nominations@riversidepark.ca

Candidate Criteria:

  • Nominations must be received no later than 4:00 p.m. on Monday, October 5, 2020.
  • The member seeking election, and their seconder, must both be in good standing, with membership dues paid through to October 7, 2020.
  • Candidates who reside in the area they seek to represent will be given priority, in accordance with the RPCA Bylaws, but if no candidate in that area comes forward, a resident from another neighbourhood in Riverside Park may be elected to that position.
  • All positions that are not contested will be deemed elected by acclamation.

The 2020 Nominations Committee is: Andrea Ward (Chair), Carolyn Gauthier, and Marika Magro.

The 2020 RPCA Annual General Meeting will be held online on Wednesday, October 7, 2020 at 7:00 pm. Members of the RPCA will be able to elect 9 Directors, vote on motions, and debate important issues affecting the Riverside Park neighbourhood.

BY-LAW AMENDMENTS (Served with due notice)

 Any by-law of the Corporation may be amended at any general meeting of the Corporation provided that the amendment is proposed in writing by the Board of Directors, or is proposed by a member of the Corporation and given in writing tothe Secretary, and provided that notice of the proposed amendment, and at least a general summary of the amendment, have been reasonably publicized in the area at least ten days in advance of the general meeting.

Proposal to Amend By-Law 9 (Moved: Joel Duff/Barbara Haines. September 15, 2020)

Whereas the RPCA is a not-for-profit organization incorporated under the laws of Ontario, the language recommended under the Ministry of Consumer Services’ Default By-laws streamlines terminology for greater accessibility; therefore  

Be it resolved that the RPCA by-laws be amended to be more consistent with our governing legislation, by renaming the Article 9 from “General Meetings” to “Meetings of the Members”; and

Be it further resolved that throughout the by-laws, “General Meeting” be replaced with “Special Meeting of Members,” and “Annual General Meeting” be replaced with “Annual Meeting of Members.”

Proposal to Amend By-Law 10.2 (Moved: Joel Duff/Travis Croken. September 15, 2020)

Whereas the area names used to describe the Riverside Park neighbourhood should be updated to reflect location names used by residents, where they exist;

Whereas residents in “Riverside Park East” often refer to the neighbourhood as “General Vanier” (ie. Neighbourhood Watch and Annual Garage Sale), and residents of “Riverside Park East” most often refer to the neighbourhood as “Mooney’s Bay” (ie. Mooney’s Bay Child Care Centre); and

Whereas the similar names of 4 areas causes confusion within the neighbourhood; therefore

Be it resolved that the areas of the Riverside Park neighbourhood, as described in By-law 10.2 and depicted on the Association’s Neighbourhood Map, be renamed as follows:

  • “Area 1 Riverside Park East” will be renamed “Area 1 General Vanier”;
  • “Area 2 Riverside Park West” will be renamed “Area 2 Mooney’s Bay”;
  • “Area 3 Riverside Park Southeast” will be renamed “Area 3 Riverside Park East”;
  • “Area 4 Riverside Park Southwest” will be renamed “Area 4 Riverside Park West”;
  • Area 5 Revelstoke” will remain unchanged.

Proposal to Amend By-Laws 9 and 6 to clarify and comply with requirements for treatment of year-end financial statements (Moved: RPCA Financial Review Committee)

Given that:

  1. RPCA is incorporated in Ontario as a Not-for-Profit;
  2. For fiscal 2021, RPCA is a ‘soliciting corporation’ under Canadian Not-for-Profit Act (CNCA), enacted 2013, and a ‘public benefit corporation’ under Ontario Not-for-Profit Corporations Act (ONCA), passed 2010;
  3. With current annual revenues less than $50,000, under both CNCA and ONCA, RPCA may currently dispense with appointing a public accountant, and that future RPCA annual revenues will dictate when RPCA must engage a public practice auditor or accountant.  
  4. Under governing legislation, RPCA can, and does, conduct a Compilation; and,
  5. RPCA Board votes to approve the financial statements upon consideration of the Financial Review Committee’s recommendation;

Therefore, be it resolved that the following three by-laws be amended to read:

9.4 Financial Review Committee: At least one month in advance of the end of the fiscal year of the Corporation, the Board shall appoint a Financial Review Committee of other than its directors and officers, from among individuals who understand the role of an independent review of the financial records and have a basic understanding of bookkeeping. The purpose of the Financial Review Committee is to provide an independent evaluation of the financial reports and records for the purpose of reasonably verifying the reliability of the financial reporting and to determine whether the Corporation’s assets are being safeguarded. The Financial Review Committee will review a compilation of the financial statements of the Corporation as prepared by the Treasurer, along with any supporting documentation the Committee may wish to review. The independently reviewed financial statements shall be presented at the next annual meeting of Members.

9.5 At every annual meeting of Members, there shall be offered a report by the President on the activities of the Board, a report by the Treasurer on the financial position of the Corporation, a compilation of the financial statements of the Corporation reviewed by the Financial Review Committee and approved by the Board, and any other report considered desirable by the Board.

6.2 At least one Member of each committee, except the Financial Review Committee and the Nominating Committee described in Sections 9 and 11 respectively, shall be a Member of the Board.  Additional Members may be appointed from the Corporation’s Members or at the discretion of the Board, from residents living within the Corporation’s neighbourhood.

NOTICE OF MOTIONS

Except for amendment of the By-laws of the Corporation, members of the Corporation may consider and transact any business of the Corporation at any general meeting without notice of the business having been given.

However, the following motions were served in advance of the meeting:

Motion to receive the October 2, 2019 Annual General Meeting (Moved: Board of Directors. November 6, 2019)

Be it resolved that the minutes from October 2, 2019 Annual General Meeting of the Riverside Park Community and Recreation Association be received.

Motion to receive the 2019/2020 Financial Statements (Moved: Board of Directors. September 16, 2020)

Be it resolved that the 2019/2020 RPCA Financial Statements be received, as per the recommendation of the RPCA Financial Review Committee.

Other motions may be moved without notice, in accordance with the RPCA By-Laws.

DESIGNATION OF PROXIES

RPCA members in good standing who are unable to attend the 2020 AGM may designate another individual as their proxy, for the purpose of voting at the AGM. The designate need not be a member of the Association.

The 2019 RPCRA Annual General Meeting will take place on Wednesday, October 2.  Join us to learn what’s new in your neighbourhood and help set the agenda for the year ahead.

When: Wednesday, October 2, 2019 from 7:00 p.m. to 9:00 p.m.
Where: Riverside Churches, 3191 Riverside Drive, Room 6.

ELECTIONS:
A by-election will also be held for a Director representing the Revelstoke Area. Nominations are now open and should be submitted to: president@riversidepark.ca

NOTICE OF MOTION:
Notice of motion has been duly served to amend the Bylaws of the RPCRA:

WHEREAS the Board of Directors of the Riverside Park Community and Recreation Association passed a resolution recommending that the membership adopt a shorter and simpler name for the association; and

WHEREAS the recreational activities of the association are both entrenched in the mission statement and can reasonably be assumed under the activities of a community association; and

WHEREAS a name change can be implemented with minimal cost to the association; therefore

BE IT RESOLVED THAT the name of the Riverside Park Community and Recreation Association (RPCRA) be changed to the Riverside Park Community Association (RPCA); and

BE IT FURTHER RESOLVED THAT that all official documents of the corporation, including articles of incorporation, letters patent, mission and bylaws be amended accordingly.
